At the meeting, interest was expressed to strengthen the collaboration between the UC and Dynasol Group

Madrid, Spain, May 10, 2018- University of Cantabria’s (UC) Chancellor, Ángel Pazos, and the vice-chancellor of Research and Transfer, Javier León, held a meeting with Dynasol Group’s Director of Technology, Christopher Hardiman, R+D and DNP’s manager of Dynasol Group in Spain, Luis Serrano, and ATD Global manager, Juan Antonio Esteras. On behalf of the UC, the director of the Research Department, Sergio Cicero, also attended.

At the meeting, Dynasol representatives expressed their interest in working with UC researchers in the Research and Development projects and in contracting specialized services, making this institution our reference university in research and development. Dynasol’s production lines are framed in the know-how of several UC research groups.

Dynasol has recently opened a technological development center in Gajano, in which we have UC graduates. With this, “we intend to continue at the forefront of our sector, providing high-performance products and adapting to the demands of environmental sustainability required by the industry”.

President of Cantabria unveiled commemorative plaque for the 50th anniversary of the Dynasol Gajano plant in the presence of senior officials of the Dynasol Group, Repsol and KUO.

The president of Cantabria, Miguel Angel Revilla, attended the commemoration of the 50th anniversary of the Dynasol plant in Gajano (Marina de Cudeyo), which took place at 12:00 at the factory.

The president was accompanied by the mayor of Marina de Cudeyo, Severiano Ballesteros; The Chairman of Grupo Desc (KUO) Mr. Fernando Senderos, the Managing Director of the Dynasol Group, Felipe Varela; The CEO of the KUO Group, Alejandro de la Barreda; Repsol CEO Josu Jon Imaz, Dynasol Group Managing Team and Dynasol Operations Manager in Spain, Antonio Mateo, among others.

Following the projection of a video about the history of the company and the intervention of the authorities, President Revilla uncover a plaque commemorating the anniversary. Also, during the ceremony, Severiano Ballesteros delivered a gift to the Gajano plant for its contribution to the development of the area.

The Gajano Plant

The Dynasol plant in Cantabria – the old Calatrava – currently has more than 300 workers among its own staff and contracted personnel, and is a reference center in the manufacture of synthetic rubber.

Their plant is spread over an area of 760,000 square meters, which have 4 reaction lines, 5 drying lines, a hydrogenation plant and a pilot plant. In 2010 the logistics platform was built and put into service, a modern facility that includes storage silos, packaging and packaging machines, and a covered warehouse with a capacity of 12,000 tons.

The new technology building is currently under construction to carry out its commitment to innovation and the development of differentiated products.

Dynasol is a joint venture of Repsol and Mexico’s KUO, which currently has manufacturing plants in Gajano, Altamira (Mexico) and the General Chemistry plant in Álava.

In the celebration of the 50th anniversary of the Gajano plant, the president has recognized that it is a “lujazo!” For the Community to have a company with about 400 employees that is the eighth in the world in the rubber business.

On October 25, 2016, the Gajano plant celebrated its first half-century of history with Institutional Representatives; Miguel Ángel Revilla (President of Cantabria), Severiano Ballesteros (Mayor of Cudeyo) and Samuel Ruiz (Delegate of Government in Cantabria), the presidency of our partners; Fernando Senderos (Executive President of KUO) and Josu Jon Imaz (Managing Director of Repsol) in addition to the Board of Directors and Management Committee of the Dynasol Group, Plant Management, representatives of the Work and Company Committee.

Mexico City, April 27th, 2015 – Grupo KUO, S.A.B. de C.V. (BMV: KUO), hereinafter Grupo KUO, announces today that, together with its partner Repsol, have agreed to strengthen their existing partnership in Dynasol (solution rubber), by jointly contributing human capital, assets, experience and resources to create a new company, leader in the production of synthetic rubber and chemical accelerators.

Since 1999, Grupo KUO and Repsol have been partners in the same proportion at Dynasol, a world leader in asphalt modifiers and plastics, with production facilities located in Altamira, Mexico; Santander, Spain and Liaoning, China, production facility that will start operations at the end of the second quarter of this year.

As a result of this agreement, Grupo KUO will contribute to this Joint Venture its emulsion rubber and nitrile business located in Mexico (INSA), as well as its nitrile rubber business (INSA GPRO), whose plant in Nanjing, China, will begin operations at the end of the second quarter of this year. Repsol will contribute its chemicals accelerators business, located in Spain (General Química).

As a result of these developments, the resulting company will target the high performance tires market segment; increasing its presence in the global rubber market, participating with diverse and complementary products and technologies focusing on high value-added solutions for the European, American and Asian markets. Given the aforementioned, Dynasol will have the required scale, technology and human capital to create value derived from future growth opportunities and will rank among the major companies in the sector, globally.

The company will have its headquarters in Madrid, with operating facilities in Mexico, Spain and China, as well as a sales office in the United States.

“We are very pleased to consolidate this alliance with Repsol, our long term and strategic partner. This new company will strengthen our position as a global player in the synthetic rubber market,” said Fernando Senderos Mestre, Chairman of the Board and Chief Executive Officer of Grupo KUO.

Antonio Brufau, Chairman of Repsol, said that “Through this agreement we take a qualitative leap in our alliance with Grupo KUO, to position Dynasol as a benchmark in the high performance tire market, and we will increase significantly our production capacity as well as our contribution to our chemical business”.

The new entity’s proforma revenues, based on 2014 figures, would reach approximately US $700 million, with a combined production capacity of over 500,000 tons.

As a result of this operation, KUO will generate positive net cash flow, and for accounting purposes, the new company results will be recorded in KUO’s financial statements under the equity method; and for a better understanding of the financial information, its results will be consolidated proportionately under pro forma basis.
This operation reflects the Group’s commitment to maximize the value generation for all its stakeholders, focusing both, resources and executive talent to their businesses with the highest growth potential. Furthermore, it demonstrates the confidence and support of Grupo KUO’s long- term strategic partners for the creation of this company.
This transaction is subject to the approval of the Mexican antitrust authorities (Comisión Federal de Competencia), the government agencies with jurisdiction on the matter, as well as other customary authorizations of these processes that may apply.
